Article I

Article II

Purpose

This corporation is organized for the exclusive [charitable, scientific, educational (pick one or more)] purpose, or more specifically to [list specific purpose]. The corporation will at all times be operated for charitable purposes exclusively within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as it is now enacted or hereafter amended. Article III

Exemptions

The following conditions shall act as restrictions for the operations and activities of the corporation:

  1. No part of the company's net earnings shall result in the benefit of, or be distributed to its members, officers, trustees, or other private persons, except those that the corporation is authorized and empowered to pay as part of reasonable compensation for services rendered and/or to make payments or distributions in advancement of the purpose established in the purpose clause hereof.
  2. No sizeable part of the corporation's activities shall represent propaganda or otherwise attempt to influence legislation, or any other initiative or referendum to the public. The corporation will not take part in, intervene through publication or statement any political campaign on behalf of or against any candidate of public office.
  3. Apart from any other conditions of this document, the corporation shall not take part in any other activities not permitted by (a) an organization that is exempt from federal tax under section 501(c)(3) of the Internal Revenue Code, corresponding section of any future federal tax code, or (b) contributions that are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any federal tax code.

Article IV

Duration

The corporation existence duration shall be continuous.

Article V

Membership/Board of Directors

The corporation will have no members. Corporation management of affairs shall be managed by a Board of Directors, as defined in the corporation's bylaws. No Director will have any right to any title, interest in or to any property or other rights of the corporation.

Article VI

Personal Liability

Article VII

Dissolution

Upon dissolution of the corporation, all assets will be distributed for one or more exempt methods within the meanings of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal code, or will otherwise be distributed to the federal, state, or local government for public use. Any assets not dispersed by the District Court of the county of the principle office of the corporation is then located, for the purposes of the corporation or corporations, as the court will determine, which are organized and maintained for these purposes.
